Dealer Policy

This Dealer Policy (“Policy”) governs the relationship between Decorwoods (“Company”, “we”, “us”, “our”) and any individual or business entity (“Dealer”, “you”) appointed to market, distribute, or sell Decorwoods products. By submitting a Dealer Enquiry Form, accepting a dealership offer, or placing an order as a dealer, you agree to be bound by this Policy, along with our Terms & Conditions and Privacy Policy.

1. Purpose

This Policy sets out the terms under which Decorwoods appoints dealers, the obligations of both parties, and the standards dealers must maintain to represent the Decorwoods brand.

2. Eligibility

To be considered for dealership, an applicant must:

  • Be an individual of at least 18 years of age, or a duly registered business entity (proprietorship, partnership, LLP, or company).
  • Hold valid business registration, GST registration, and any other statutory licenses required to trade in the applicant’s state/region.
  • Have adequate storage/display space and, where applicable, prior experience in furniture, décor, or related trade.
  • Demonstrate the financial capacity to meet minimum order and stocking requirements described in this Policy.

Decorwoods reserves the right to approve, reject, or request additional documentation for any dealership application at its sole discretion, without being obligated to disclose reasons for rejection.

3. Application & Onboarding

  • Applicant submits the Dealer Enquiry Form on decorwoods.com with accurate personal/business, address, and contact details.
  • Decorwoods reviews the application and may request supporting documents (e.g., GST certificate, PAN, business proof, address proof).
  • On approval, Decorwoods issues a Dealer Agreement / Confirmation Letter specifying territory, pricing slab, credit terms (if any), and other commercial terms.
  • Dealership becomes active only after the Dealer Agreement is signed (physically or digitally) and any applicable security deposit or registration fee is received.

4. Territory

  • Dealers may be assigned a specific geographic territory (city/district/state) at Decorwoods’ discretion, as recorded in the Dealer Agreement.
  • Exclusivity within a territory, if granted, is at Decorwoods’ sole discretion, is non-transferable, and may be reviewed periodically based on the dealer’s performance (minimum order volumes, payment discipline, and brand compliance). Default position: non-exclusive unless expressly agreed in writing
  • Decorwoods reserves the right to appoint additional dealers, sell directly, or sell through online marketplaces in any territory unless an exclusivity clause explicitly states otherwise in writing.

5. Orders, Pricing & Payment Terms

  • Minimum Order Quantity (MOQ): No such quantity
  • Pricing: Dealers will be supplied at the dealer price list applicable at the time of order confirmation. Decorwoods reserves the right to revise prices with prior written notice of 30 days
  • Payment Terms: 100% advance 
  • Taxes: All prices are exclusive of applicable GST/other taxes unless stated otherwise.
  • Security Deposit: None, refundable on termination of dealership subject to no outstanding dues.

6. Delivery & Logistics

  • Delivery timelines will be communicated at the time of order confirmation and are estimates, not guarantees, and may vary due to production, transport, or force majeure conditions.
  • Freight/shipping costs are shared as per order value, unless otherwise agreed in writing.
  • Dealers must inspect goods on receipt and report any transit damage or shortages within 48 hours of delivery, with photographic evidence, to be eligible for replacement/credit.

7. Returns, Replacement & Warranty

  • Products damaged in transit, or found defective due to manufacturing faults, will be replaced or credited as per Decorwoods’ prevailing warranty terms, subject to timely reporting as per Section 6.
  • Products are not eligible for return due to change of preference, incorrect ordering by the dealer, or normal wear and tear.
  • Warranty, where applicable, is limited to manufacturing defects and does not cover damage from misuse, improper installation, or unauthorized modification.

8. Marketing, Branding & Use of Trademarks

  • Dealers may use Decorwoods’ name, logo, and marketing material solely for promoting genuine Decorwoods products, and only in the form and manner approved by Decorwoods.
  • Dealers may not alter Decorwoods branding, make unauthorized claims about products, or use the Decorwoods name in a manner that could mislead customers or harm brand reputation.
  • Any dealer website, signage, or social media presence referencing “Decorwoods Dealer” or “Authorized Decorwoods Dealer” must accurately reflect the dealer’s active status and may be subject to Decorwoods’ review.
  • This right to use Decorwoods branding ends immediately on termination or expiry of the dealership.

9. Dealer Obligations

Dealers agree to:

  • Represent Decorwoods products honestly and avoid misleading claims to end customers.
  • Maintain minimum stock levels and order volumes as agreed in the Dealer Agreement.
  • Not sell counterfeit, damaged, or unauthorized third-party products under the Decorwoods name.
  • Comply with applicable consumer protection, GST, and other laws in their dealings with end customers.
  • Promptly report customer complaints related to product quality to Decorwoods for resolution.

10. Confidentiality

Pricing lists, dealer margins, business strategies, and any non-public information shared by Decorwoods with the dealer are confidential and must not be disclosed to third parties, including competing dealers or brands, during or after the dealership term.

11. Term, Suspension & Termination

  • This dealership is valid from the date of the Dealer Agreement until terminated by either party.
  • Either party may terminate the dealership with 30 days written notice.
  • Decorwoods may suspend or terminate a dealership immediately, without notice, in case of: non-payment of dues, breach of this Policy, sale of counterfeit/unauthorized products, brand misrepresentation, or conduct damaging to Decorwoods’ reputation.
  • On termination, the dealer must immediately cease using Decorwoods branding/marketing material, settle any outstanding dues, and may return unsold stock only if Decorwoods agrees to a buy-back at its sole discretion.

12. Data Protection (Digital Personal Data Protection Act, 2023)

Decorwoods collects and processes personal data submitted by dealers (name, address, contact details, business information) strictly for dealership evaluation, onboarding, order processing, and related communication, in accordance with the Digital Personal Data Protection Act, 2023. Data will not be sold or shared with unrelated third parties and will be retained only as long as necessary for these purposes. 13. Limitation of Liability

Decorwoods’ total liability arising out of the dealer relationship, for any claim, shall not exceed the value of the specific order giving rise to the claim. Decorwoods shall not be liable for indirect, incidental, or consequential losses, including loss of profit or business opportunity.

14. Force Majeure

Decorwoods shall not be held responsible for delays or failure to perform obligations due to circumstances beyond its reasonable control, including natural disasters, strikes, transport disruptions, government restrictions, or supply chain failures.

15. Amendments

Decorwoods reserves the right to amend this Policy at any time. Updated versions will be published on decorwoods.com, and continued dealership after such changes constitutes acceptance of the revised Policy.

16. Governing Law & Dispute Resolution

This Policy shall be governed by the laws of India. Any disputes arising out of the dealership relationship shall be subject to the exclusive jurisdiction of the courts at Mumbai. Parties may first attempt to resolve disputes amicably, and where unresolved, through arbitration under the Arbitration and Conciliation Act, 1996, with the arbitration seat at Mumbai, India
